Vendor Agreement

This Vendor Agreement ("Agreement") is entered into between Zinnia Events LLC, doing business as Plan Zinnia ("Plan Zinnia," "we," or "us"), and the vendor who accepts these terms upon creating a vendor account on the Plan Zinnia platform ("Vendor" or "you").

By creating an account and listing your services on Plan Zinnia, you agree to be bound by this Agreement.

1. About Plan Zinnia

Plan Zinnia is a wedding vendor marketplace that connects engaged couples with local wedding vendors. Vendors create a storefront, list their services, set availability, and receive bookings through the platform. Couples can browse, message, and book vendors directly through planzinnia.com.

2. Vendor Eligibility

To list on Plan Zinnia, you must:

  • Be a legitimate, licensed (where applicable) wedding vendor operating in the United States
  • Complete the onboarding process, including payout setup via Stripe
  • Provide accurate information about your services, pricing, and availability
  • Maintain a current and active vendor account in good standing

3. Platform Fees

Solo Plan

Designed for individual vendors operating as a single business.

  • Free tier: 5% transaction fee on each confirmed booking
  • Subscription: $29/month + 1% transaction fee on each confirmed booking

Team Plan

Designed for businesses with multiple vendors operating under one account.

  • Free tier: 5% transaction fee on each confirmed booking
  • Subscription: $59/month + 1% transaction fee on each confirmed booking

Subscription fees are billed monthly and are non-refundable. Transaction fees are deducted automatically at the time of booking confirmation. Vendors may upgrade, downgrade, or cancel their subscription at any time; changes take effect at the next billing cycle.

Fees are non-negotiable. Plan Zinnia reserves the right to update its fee structure with 30 days' notice to active vendors.

Sales Tax

Plan Zinnia collects and remits applicable sales tax on bookings made through the platform. This tax is added to the couple's total at checkout and does not reduce the amount paid to vendors.

Vendors should not separately add sales tax to their listed prices for bookings made through Plan Zinnia. The price you set is the price the couple pays for your services, with applicable taxes collected by Plan Zinnia on top.

Sales tax handling outside the platform — including direct bookings, deposits collected off-platform, or services not booked through Plan Zinnia — remains the vendor's responsibility.

4. Payouts

Vendor payouts are processed via Stripe Connect. You must complete Stripe onboarding before you can confirm bookings on the platform.

  • Funds are held by Plan Zinnia until 24 hours after the wedding date
  • Payouts are released to your connected Stripe account 24 hours after the confirmed event date
  • Plan Zinnia does not charge couples until a booking is confirmed by the vendor — funds are held as an authorized payment until confirmation
  • If a booking expires or is declined, the couple's authorization is released and no charge is made

5. Booking & Confirmation

When a couple submits a booking request through Plan Zinnia:

  • You will receive an email notification with booking details
  • You have 24 hours to confirm or decline the request
  • If you do not respond within 24 hours, the booking will automatically expire and the couple will not be charged
  • Repeatedly allowing bookings to expire without response may result in account suspension at Plan Zinnia's discretion

You must complete your Stripe payout setup before you are able to confirm any booking. The Confirm button will be disabled until payout onboarding is complete.

6. Cancellations & Refunds

6.1 Vendor-Initiated Cancellations

If you decline a booking request, the couple's payment authorization is automatically released and they are not charged.

If you need to cancel a confirmed booking, contact info@planzinnia.co immediately. Canceling a confirmed booking is treated as a serious breach of trust and may result in account warnings, suspension, or termination. The couple will receive a full refund including the Plan Zinnia platform fee.

6.2 Couple-Initiated Cancellations

After a booking is confirmed, refund eligibility is determined based on the following schedule:

  • More than 6 months before the event: Full refund of the service amount
  • 3–6 months before the event: 50% refund of the service amount; 50% retained by the Vendor
  • Less than 3 months before the event: No refund; the full service amount is paid to the Vendor

The Plan Zinnia platform fee ($3.99) is non-refundable in couple-initiated cancellations. Individual vendors may choose to offer more generous terms at their discretion.

Couples must request cancellations by emailing info@planzinnia.co. Plan Zinnia will coordinate the refund with you where applicable. Refunds outside the standard schedule are at your discretion.

6.3 Vendor-Specific Policies

Vendors may add service-specific policies to their listings — such as overtime rates, weather contingency plans, equipment damage terms, or image licensing. These policies are presented to couples before booking and become part of the booking agreement. Plan Zinnia's platform cancellation and refund policy applies alongside any vendor-specific policies. In the event of conflict between your Vendor Policies and Plan Zinnia's Refund Policy or this Agreement, Plan Zinnia's Refund Policy and this Agreement control.

6.4 Force Majeure

If a confirmed event cannot proceed due to circumstances beyond either party's control — including natural disasters, extreme weather, government-mandated restrictions, pandemics, or venue closures — Plan Zinnia will work with both parties to reach a fair outcome. Where both parties agree, Plan Zinnia encourages rescheduling within 12 months of the original event date at no additional platform fee. If rescheduling is not possible, Plan Zinnia will mediate a fair resolution. Any refund issued will take into account work already performed by the vendor — such as engagement sessions, consultations, custom orders, or other pre-event services that the vendor cannot recover costs for. Documentation of the force majeure event will be required. Plan Zinnia will mediate in good faith.

7. Account Conduct & Suspension

Plan Zinnia reserves the right to suspend or terminate a vendor account for any of the following reasons:

  • Consistently declining or failing to respond to booking requests
  • High volume of expired bookings
  • Fraudulent, misleading, or inaccurate listings
  • Violation of this Agreement or Plan Zinnia's Terms of Service
  • Complaints from couples that are substantiated after review

Suspended vendors will be notified by email. Account reinstatement may be requested by contacting info@planzinnia.co.

8. Disputes

If a couple raises a dispute related to a booking, Plan Zinnia will mediate the dispute. Our process:

  • The couple contacts Plan Zinnia at info@planzinnia.co with the nature of the complaint
  • Plan Zinnia will review the booking record, communications, and any relevant evidence
  • Both parties will have an opportunity to respond
  • Plan Zinnia will issue a determination and, where appropriate, authorize a full or partial refund

Plan Zinnia is not liable for the quality, safety, or legality of vendor services. Our role in mediation is limited to the platform transaction.

9. Vendor Representations

By using Plan Zinnia, you represent and warrant that:

  • All information in your vendor profile is accurate and up to date
  • You hold any licenses, permits, or insurance required to perform your services
  • You will fulfill all confirmed bookings in a professional and timely manner
  • You will not engage in any conduct that could damage the reputation of Plan Zinnia

10. Intellectual Property

You retain ownership of any photos, descriptions, and content you upload to your Plan Zinnia storefront. By uploading content, you grant Plan Zinnia a non-exclusive, royalty-free license to display, reproduce, and promote that content on the platform and in marketing materials.

11. Limitation of Liability

Plan Zinnia is not liable for any indirect, incidental, or consequential damages arising from your use of the platform. Our total liability to you in connection with any claim shall not exceed the total fees paid by you to Plan Zinnia in the three months preceding the claim.

12. Amendments

Plan Zinnia may update this Agreement from time to time. We will notify active vendors by email at least 30 days before material changes take effect. Continued use of the platform after that date constitutes acceptance of the updated Agreement.

13. Governing Law

This Agreement is governed by the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Cook County, Illinois.
